I have a Acer TravelMate 242LC and the spec for it is:-
- CPU: Intel?Celeron 2.4GHz
- Softload:Microsoft?Windows?XP (Home)
- Operating System (OS): Microsoft?Windows?XP Home
- System BOIS: BD/BOIS:2D/V1.12
And I was wondering if I can upgrade it with a Pentium4 3.2Ghz ONLY (no other alterations i.e. to the motherboard & stuff)

I'd be happy with just a suggestion. Any at all thanks

Unfortunately, no laptops can be upgraded because of the box. Everything is welded in so you can't change anything on the board

I don't know that you can upgrade a CPU in a laptop like that, you will have to contact ACER to find out if it is soldered in or is removeable.
I am curious, why do you want to upgrade the processor?
Are you looking for an increase in speed and performance?
If that is the case, you should go with a RAM and hard drive upgrade. Most laptop hard drives these companies put in are very slow, poor quality drives. I just replaced the stock 4200 rpm Fujitsu drive in my sony laptop with a 5400 rpm seagate. You talk about a speed improvement!!
An extra 256 or 512 Mb stick of RAM will also do wonders for your system.
And honestly, a RAM and hard drive upgrade will most likely be less expensive than a 3.2 GHz P4 CPU.
Also, that celeron might only only be 400 FSB, and that may also mean that the motherboard can only handle that much, or 533 FSB at the most.

The only thing upgradeable is RAM. Froget the rest

I was looking for a bit more speed as well as preformance, Celeron sucks.

I'm thinking of getting more memory. I currently have 256MB DDR SDRRAM. I want to get 2 x 512MB DDR SDRRAM memory chips.
I want to know, if I remove the current memory chip, will I lose any valuable data?
This is what it look like when I go into the D:/ drive from 'My Computer':-
